Terms of Service

Bukso is launching soon. These Terms apply when accounts open.

Last updated: October 27, 2026. Version: terms-v33-2026-10-27.

Effective date: October 27, 2026.

What changed (accepted at next sign-in): Firm accounts: free storage allowance per firm. After a month is exported, raw uploaded originals auto-delete after a set period (default 90 days; your firm can change this). Sorted books and reports stay. You can add paid storage or delete originals yourself.

1. Definitions

In these Terms of Service (the "Terms"), the following capitalised terms have the meanings set out below:

  • 1.1 "Ai Book Sort", "we", "us" and "our" mean Bukso Technologies Corp., a corporation under the Canada Business Corporations Act, operating under the names Ai Book Sort and Bukso, with its mailing address at PO Box 95072, RPO Saddleridge, Calgary, AB T3J 0E3, Canada.
  • 1.2 "you" and "Customer" mean the business, and the individual acting on its behalf, that registers for or uses the Service.
  • 1.3 "Service" means the Ai Book Sort / Bukso software available at aibooksort.com, the client portal and the Bukso apps, including reading uploaded documents with our own AI, sorting transactions, the edit screens (including the Review Sheet), bookkeeping, profit-and-loss, GST/HST/PST and year-end reports, the payroll calculator, US sales tracking, exports, Bukso Membership features and the Bukso AI help assistant.
  • 1.4 "Account" means the client account registered by the Customer to access the Service.
  • 1.5 "Customer Data" means all statements, receipts, photographs, files and other materials that the Customer uploads to the Service, together with the text, transaction lines, entries and other data derived from them.
  • 1.6 "Client ID" means the unique identifier, in the form ABS-XXXX-XXXX, issued to the Customer after verification of the Customer's email address.
  • 1.7 "Review Sheet" means the screen within the Service on which draft entries prepared from Customer Data are presented to the Customer for review, editing and approval.
  • 1.8 "Output" means the categorised records, export files (including files formatted for QuickBooks Online, Xero or a spreadsheet) and other deliverables produced by the Service from Customer Data.
  • 1.9 "Fees" means the amounts payable by the Customer for the Service, as described in Section 6 and on the Pricing Page.
  • 1.10 "Pricing Page" means the page at aibooksort.com/pricing.html, as updated from time to time.
  • 1.11 "Privacy Policy", "Data Retention Policy" and "Refund Policy" mean the policies published at aibooksort.com/privacy.html, aibooksort.com/data-retention.html and aibooksort.com/refund.html respectively, each as updated from time to time.

2. Acceptance of these Terms

  • 2.1 By creating an Account, ticking the consent box presented at sign-up, or otherwise accessing or using the Service, the Customer agrees to be bound by these Terms, the Privacy Policy and the Data Retention Policy, each of which is incorporated into these Terms by reference.
  • 2.2 If the individual accepting these Terms does so on behalf of a business, that individual represents and warrants that he or she has the authority to bind that business to these Terms.
  • 2.3 If the Customer does not agree to these Terms, the Customer must not use the Service.

3. Eligibility

  • 3.1 Where we serve. The Service is for businesses and self-employed people, for their business records, located in Canada outside Quebec and Saskatchewan (for now), and in the United States (the 50 states and the District of Columbia). We will open to Quebec when our documents and service are ready for it, and to Saskatchewan once we are registered for Saskatchewan PST; until then a Saskatchewan business may create an account and use the free try, but we do not sell paid services (orders, plans or memberships) to it, and we may refuse or close accounts outside the area we serve.
  • 3.2 The individual registering for and using the Account must be at least eighteen (18) years of age and of the age of majority in his or her jurisdiction of residence.
  • 3.3 The Customer represents that all registration information provided (including business country, province or state and postal or ZIP code) is true, accurate and complete, and agrees to keep it current.

4. Accounts and Security

  • 4.1 Credentials. The Customer may sign in using either its email address or its Client ID, together with its password. The Client ID is issued after the Customer's email address has been verified.
  • 4.2 Two-step verification. Where two-step verification is enabled on an Account (and in every case for our staff accounts), a one-time code is required in addition to the password. The "Remember me" feature and biometric unlock in the mobile application are conveniences only and do not replace the Customer's obligation to secure its devices.
  • 4.3 Customer responsibility. The Customer is responsible for maintaining the confidentiality of its password, two-step verification codes, backup codes and devices, and for all activity that occurs under its Account. The Customer must not share its credentials with any other person.
  • 4.4 Notification. The Customer shall notify us promptly at support@aibooksort.com upon becoming aware of any unauthorised access to or use of its Account.
  • 4.5 Password reset. When a password is reset or changed, all existing sessions and remembered devices for the Account are signed out.

5. Description of the Service

  • 5.1 AI extraction. The Service uses automated tools, including artificial intelligence, to read Customer Data and to prepare draft entries, including vendor, date, amounts, applicable sales taxes, payment method and a suggested category.
  • 5.2 Drafts you review. Bukso AI makes a best guess for every line (amount, money in or out, category and tax). Lines we are less sure about are marked "Check". Nothing stops you downloading, so you must review your transactions and reports before you use them for taxes, filings, payroll, loans or any decision. A download or print is a working copy produced from the lines as they stood at that time.
  • 5.3 AI processing; no Bookkeeper double-check service. Customer Data is processed by AI. Unless you buy or use a Bookkeeper double-check service (Section 6.4D), the Service does not include review of the Output by a bookkeeper or other person. Entries the AI is unsure about are flagged on the Review Sheet for the Customer to confirm. Our personnel look at a Customer's file or entry only where the Customer asks us for help, buys or uses a Bookkeeper double-check service or reports a mistake, or where we must, to investigate a security incident, fraud or abuse of the Service, or to comply with the law; every such view is logged.
  • 5.4 What we are not. Bukso is bookkeeping software. We are not a CPA firm or a registered professional accounting firm, and nobody at Ai Book Sort is acting as your accountant. We do not provide audit, review, assurance, tax, legal or financial advice. We do not prepare, file or remit tax returns, GST/HST returns, payroll remittances, T4s or any other government filing. Reports are produced automatically from the documents and answers you give us; we do not check that those facts are true, and we do not promise that any report complies with ASPE, IFRS, GAAP or any tax rule. Sales tax amounts shown by the Service are estimates for bookkeeping purposes only. Ask a qualified professional before you rely on a report for a filing, a loan or an investment decision.
  • 5.5 Customer filings. The Customer remains solely responsible for its books and records, its tax and regulatory filings, and its decisions based on the Output, and should consult a qualified professional where appropriate.
  • 5.6 Availability. The Service is offered in the area described in Section 3.1. Uploads of more than 1,000 pages may be subject to a separate quotation.

6. Fees and Payment

  • 6.1 Pay as you go. Unless otherwise agreed in writing, the Service is purchased per order ("Order") at the prices on the Pricing Page. At the date of these Terms the prices are:
    • (a) AI bookkeeping: $3.00 per Processing Page;
    • (b) receipts: $0.25 each; and
    • (c) a minimum order of $10.
  • 6.1A Processing Pages. Every twenty-five (25) transactions in a file (or part of twenty-five) = one (1) "Processing Page", for statements (PDF, photos) and spreadsheets (CSV or Excel .xlsx) alike. A file with no transactions is not charged. Processing Pages are a unit of pricing only; the Customer's original statements are not changed. A statement you already uploaded for the same business is not counted or charged again; if we only notice it after you paid, we credit its Processing Pages to your next job automatically and tell you.
  • 6.1B Counting and price before payment. Ai Book Sort counts the pages and transactions in the Customer's uploaded files automatically on upload (headers, opening and closing balances and totals are not counted as transactions) and shows the resulting Fees to the Customer before payment. Nothing is processed until the Order is paid. Ai Book Sort may correct the count where a file cannot be read reliably. The price charged is calculated by Ai Book Sort at checkout irrespective of any amount displayed or submitted by the Customer's device. Every Order is processed by AI.
  • 6.2 Minimum order. A pay-as-you-go Order whose total is below $10 is charged $10.
  • 6.3 Currency. Fees are charged in United States dollars to Customers whose business country is the United States and in Canadian dollars to Customers whose business country is Canada, as stated on the Pricing Page. Prices are shown in the currency of your business country on the Pricing Page.
  • 6.4 Plans (automatic renewal). The Customer may choose a plan per business, monthly or yearly, at the prices on the Pricing Page: Solo $12 per month or $120 per year, with five (5) Processing Pages a month (unused pages roll over for three (3) months) and fifty (50) receipts, extra pages $2.50; Business $29 per month or $290 per year, with fifteen (15) Processing Pages a month, two hundred (200) receipts and three (3) users, extra pages $2; Pro $59 per month or $590 per year, with thirty-two (32) Processing Pages a month, unlimited receipts, three (3) businesses and two (2) Bookkeeper double-check pages a month, extra pages $1.90; for verified accounting firms, per-active-client plans: Starter $10 per active client per month (up to fifty (50) active clients, eight (8) Processing Pages per client included, extra pages $1.00), Practice $9 (fifty-one (51) to two hundred (200) active clients, eight (8) pages/client), Growth $8 (two hundred one (201) to five hundred (500)), Scale $8 (five hundred one (501) to nine hundred ninety-nine (999)), and Enterprise $7 (one thousand (1000) or more active clients, seven (7) pages/client included); overage $1.00 per page; an active client is a linked client with at least one paid or sorted upload in the billing month. We set only the price we charge the firm; the firm sets its own prices for its own clients. Included pages are used first. A plan renews automatically at the end of each monthly or yearly period until the Customer cancels; the renewal terms are shown at checkout and need the Customer's express consent. For yearly plans we send a reminder thirty (30) to forty (40) days before each renewal, and the Customer may cancel within fourteen (14) days after a yearly renewal for a full refund of that renewal. A receipt is emailed for every payment. Cancel anytime: the Customer may cancel online at any time; the plan then stays active until the end of the period already paid for and does not renew. A Customer who joined before these prices keeps their current price; we never change it without notice. In these Terms, a plan is the "Bukso Membership" referred to in other sections.
  • 6.4A Founding Member. For the first three hundred (300) subscribers, or until March 31, 2027, whichever comes first, Solo is $10 per month or $100 per year and Business is $27 per month or $270 per year. The Founding price stays the same for as long as the subscription stays active; if it ends, the standard price applies to a new subscription.
  • 6.4B Catch-up bundles. A catch-up bundle covers one past year: Solo year $149 (up to 1,500 transactions and 300 receipts) or Business year $349 (up to 4,000 transactions and 1,000 receipts), each including three (3) months of the matching plan; each extra year / $249. The Solo year launch price is until April 30, 2027.
  • 6.4C 30-day money-back. On the first payment of any plan or catch-up bundle, the Customer may ask for a full refund within thirty (30) days, once per Customer. The refund is made through our payment processor and logged.
  • 6.4D Bookkeeper double-check, archive and payroll. Bookkeeper double-check is $12 per Processing Page. After a plan ends, the Customer's records stay available read-only for thirty (30) days free (we email reminders 30, 7 and 1 day before the end), then in the archive for $2 per month or $20 per year until the Customer deletes them or stops paying for the archive. Payroll (planned, not yet offered) is shown at $20 per month plus $4 per employee.
  • 6.5 Discounts and reports. Any volume discount stated on the Pricing Page applies to the page portion of the Fees only. Period reports (quarterly, six-month, yearly or custom profit-and-loss and GST/HST/PST reports) are available to members only, without limit and at no extra charge (view, download as PDF or Excel, and save). A report that fails the Service's automatic arithmetic check cannot be downloaded or saved. The former "Save my data" add-on and the per-report price previously offered are discontinued; extra storage for members is in Section 8.7.
  • 6.6 Taxes. Prices are shown plus applicable taxes. For Customers in Canada, GST/HST is added to Fees, plans, Processing Pages and receipts at the rate for the Customer's province, and the tax amount is shown before the Customer pays. No QST, PST or US sales tax is charged on Fees today. This section is about what we charge; it does not change how the Service calculates taxes in the Customer's own reports.
  • 6.7 Payment processing. Payments are processed by our third-party payment processor, Stripe. Card numbers are transmitted directly to Stripe and are not stored on our servers. By providing a payment method, the Customer authorises us and Stripe to charge all Fees, applicable taxes and, for a Bukso Membership, the recurring membership fees at each renewal until the Customer cancels. Memberships are billed as Stripe subscriptions; the Customer can update the payment method through Stripe's customer portal linked from the Membership page.
  • 6.8 Price changes. We may change the Fees on a prospective basis by updating the Pricing Page. Changes do not affect Orders already paid for or the then-current billing period of an active membership; a new plan price applies from the next renewal after the Customer has seen and accepted the change at their next sign-in (Section 18).
  • 6.9 Free trial. A new Customer's first two (2) statements, of up to five (5) pages each, are processed and previewed without charge and without a payment card. Paying is needed only to download or keep the results. Conditions: (a) one free trial per person and business, as determined by us using the verified email address, device and network used; (b) Orders billed to an accounting firm are not included; (c) we may change, end or refuse the free trial at any time, including where we reasonably suspect abuse or multiple accounts; and (d) free-trial processing is otherwise provided on these Terms, including sections 9, 10, 14 and 15. No Fees are charged for the free trial, so no refund applies to it.
  • 6.10 Referrals (one level only). A Customer may share their referral code or link. A new Customer who signs up with it gets 30% off their first Order or first monthly membership month. The referring Customer gets a discount of 30% on their next Order or membership month, up to 30% of what the referred Customer paid. It is available 60 days after that payment if the payment is not refunded or charged back. A discount used on a payment that is later refunded or charged back is taken from the next discount. Partners we approve in writing receive a commission of 15% of what each Customer they referred pays in that Customer's first 12 months, payable 60 days after each payment, by account credit or Interac e-Transfer once per quarter when at least $50 is owed. Commissions and rewards are reversed if the payment is refunded or charged back. Referrals pay only the person whose code was used, never anyone who referred them (no multi-level payments). No reward or commission is given for referring yourself or an account you control (same email, device, payment card or network), for free-access or test accounts, or for sign-ups we reasonably believe are abusive. Discounts never take the price of an Order below the minimum page price shown on the Pricing Page. Partners are responsible for any tax on what they earn; we may issue a tax slip where the law requires it.
  • 6.11 Billing disputes. If you think a charge is wrong, tell us within 90 days at support@aibooksort.com before contacting your card issuer, so we can fix it quickly. If a charge is disputed with your card issuer, we may pause the account until it is resolved.

7. Refunds

  • 7.1 Refunds are governed by the Refund Policy, which forms part of these Terms.
  • 7.2 Plan refunds. A plan may be cancelled at any time. First payment: the 30-day money-back in section 6.4C applies. Monthly: otherwise no refund; the plan stays active until the end of the month already paid for and does not renew. Yearly: if cancelled within fourteen (14) days after a yearly renewal, the Customer receives a full refund of that renewal and the plan ends at once; otherwise there is no refund, and the plan stays active until the end of the paid year and does not renew. In every case the data retention rules in section 8.3 and the archive in section 6.4D apply when the plan ends.

8. Data and Privacy

  • 8.1 Policies. Our collection, use and disclosure of personal information is described in the Privacy Policy and the Data Retention Policy.
  • 8.2 Automatic deletion. Unless the Customer is a Bukso Membership member with storage, everything of a job, including entries in the Customer's books, is deleted automatically at the Customer's next sign-in after first downloading it, or twenty-four (24) hours after that download, whichever comes first: the uploaded files, the transaction lines, the answers, the reports and PDFs and any entries posted to the Customer's books in the portal from that job (removed outright, not reversed). Downloading again does not restart the period. A notice is shown before the download button. Paid work is never deleted before it is downloaded. Original uploaded files are handled as described in the Data Retention Policy.
  • 8.3 Members. While a Bukso Membership is active and paid, the transaction lines and report files are kept for up to six (6) years from upload. If you have Cloud storage, Bukso keeps your original files until you delete the job or cancel storage. Without Cloud storage, original files are not kept: they are deleted on the same schedule as for every customer (including the inactivity deletion, "fresh start"). If storage ends, we email you at 30, 7 and 1 day before and on the day, and the files are deleted the day after the date shown. When a membership ends (after cancellation, at the end of the paid period, or when a renewal is not paid), the Customer is given thirty (30) days' notice by email and in the portal; after that section 8.2 applies to the transaction lines and reports. If the Customer joins again within those thirty (30) days, nothing is deleted.
  • 8.4 Account information. Account and profile information (including name, email address, phone number, postal or ZIP code and company name) and payment records are not removed by the automatic deletion or by the data-deletion controls described in Section 8.5, and are retained in accordance with the Privacy Policy, the Data Retention Policy and applicable law.
  • 8.5 Deletion rights. The Customer may at any time delete all of its uploaded data, statements only, or an individual job, using the controls in the Service. The Customer may also close its Account in accordance with the Privacy Policy. Deletion is permanent and cannot be undone. A file may be deleted at any time, including after payment; its lines are removed from the books by reversing entries and the price and payment are not changed. If the Customer uploads without paying and is inactive for 24 hours, those uploads are deleted (nothing was charged) and paid jobs' original files are deleted (“fresh start”); a Bukso Member's unpaid uploads stay until the Member deletes them, as described in the Data Retention Policy.
  • 8.6 De-identified data. We may retain and use de-identified information derived from the Service (from which the Customer and any individual cannot reasonably be identified) to operate and improve the Service, as described in the Privacy Policy.
  • 8.7 Storage. Bukso Membership includes storage for your saved transactions and reports: Solo 5 GB, Business 20 GB, Pro 100 GB. Firm packages (Starter, Practice, Growth, Scale, Enterprise) include storage bundled with the per-active-client package — there is no separate metered firm-storage fee. Uploaded files are kept only with Cloud storage and don't count toward this limit. At 80% we tell you by email and on your Membership page. When storage is full, new uploads and reports pause until you free space or add storage; we never delete anything because storage is full, and you can always view and download what is saved. Optional extra storage for members: $9.99 per 10 GB per month, added to your membership invoice; cancel anytime.
  • 8.7A Firm accounts: storage is bundled with your firm package (billed per active client). Free storage allowance covers sorted books and reports for the firm. After a month is exported, raw uploaded originals auto-delete after a set period (default 90 days; your firm can change this). Sorted books and reports stay. You can add optional paid storage or delete originals yourself.
  • 8.8 Keep your own records. Tax law (in Canada, generally 6 years) requires you to keep your books and source documents. Unless you are a Bukso Member with storage, we delete your job at your next sign-in after your first download, or 24 hours after it (Section 8.2) and we keep your uploaded files only if you have Cloud storage. Download and keep your files.
  • 8.9 Export. While your account is open you can download your transactions and reports at any time in PDF, Excel and CSV. If we close your account (other than for fraud or an attack), you get at least 30 days to download first, unless the law requires otherwise.
  • 8.10 If Bukso stops or is sold. If we decide to stop the Service, we will give at least 60 days' notice by email and in the portal, keep downloads open during that time, stop charging renewals, and refund unused prepaid membership time pro rata. If the business is sold, the buyer must keep these Terms and the Privacy Policy for your data, or you may close your account and get the same refund.

9. Acceptable Use

The Customer shall not, and shall not permit any person to:

  • (a) upload any material that the Customer does not have the right to share, or that is unlawful;
  • (b) use the Service to commit or facilitate fraud, money laundering, tax evasion or any other unlawful activity;
  • (c) attempt to access the Account, Customer Data or other information of any other customer;
  • (d) probe, scan, test, overload or interfere with the Service or its security measures;
  • (e) attempt to circumvent the limits, safeguards or instructions of the support assistant;
  • (f) reverse engineer, copy or create derivative works of the Service, except to the extent permitted by law;
  • (g) resell, sublicense or provide the Service to third parties without our prior written consent;
  • (h) copy, scrape or bulk-download the Service, its screens, prices, categories or rules by automated means;
  • (i) use the Service, its output or our rules to build or train a competing product or service;
  • (j) share your login or let more people use one account than your plan allows; or
  • (k) remove or hide our copyright or licence notices.

9A. Your rights in what you upload

You confirm that you own or are allowed to upload every document and piece of information you give us, including information about other people (employees, customers, suppliers, clients of an accounting firm), and that you have any consent the law requires. You must not upload anyone's documents without their permission.

10. Limitations of AI

  • 10.1 The Customer acknowledges that automated extraction and categorisation may contain errors, including misread amounts, dates, taxes, vendors or categories, particularly where source documents are unclear, incomplete or unusual.
  • 10.2 Confidence indicators and "Check" flags displayed by the Service are aids only and do not guarantee accuracy.
  • 10.3 The Customer is responsible for reviewing the entries and reports (Section 5.2) and for verifying the Output before relying on it.
  • 10.4 Reporting mistakes. Results are produced with the help of AI and can contain mistakes. You are responsible for reviewing your results before relying on them, including for taxes or filing. If you report a mistake and our team confirms it, we give you a 25% discount code for your next purchase: one code per confirmed report, at most three per business per calendar month; each code is valid for 90 days, for one order, and cannot be combined with another code. Confirmed corrections may be used, inside our own systems only, to improve our AI.
  • 10.5 No Bookkeeper double-check unless you ask. Our team does not check your results unless you ask us for help or report a mistake (or you buy a review service that says so). Confidence marks and "Check" flags are aids, not a guarantee.
  • 10.6 Report errors promptly. Please tell us about a mistake within 30 days of the download that contains it, so we can redo it free (Refund Policy). This helps us fix it before it affects your filings; it does not take away rights you have by law.

10A. Payroll

  • 10A.1 The payroll calculator gives estimates of pay, deductions (CPP, EI, income tax) and employer costs from the information you enter and from the government tables shown on the screen with their date. Check every pay run with CRA's Payroll Deductions Online Calculator (PDOC) before you pay.
  • 10A.2 You are the employer. You alone are responsible for deducting, remitting and reporting payroll amounts, for T4s and ROEs, for employment-standards rules (vacation, holidays, overtime) and for paying on time. We never hold, send or remit money for you.
  • 10A.3 You confirm that you are allowed to give us your employees' information (including names, pay and social insurance numbers) for payroll, and that you have told them as the law requires.
  • 10A.4 Quebec payroll is not offered.
  • 10A.5 Payroll plans. Payroll is a separate monthly subscription per business, planned at $20 per month plus $4 per active employee, plus applicable taxes (see section 6.6); payroll is not offered yet. Current pricing is shown on the Pricing page and confirmed before checkout. It renews automatically each month until you cancel; a smaller plan starts at the end of the paid month and only when your active employees fit it. If your plan ends while payroll is on, payroll stays on to the end of the period already paid for. We email you 7 days before that date: choose payroll at the regular price, or let it go read-only. We never start a new or higher charge without your express consent. If you do not answer, payroll goes read-only: your payroll records stay and you can export them, but you cannot run new pays.
  • 10A.6 Files you submit. T4 slips and summary (XML), Records of Employment (ROE) and remittance amounts are drafts you review. You submit them to CRA or Service Canada yourself and you choose any code we cannot decide for you (for example the ROE reason for issuing). We do not file anything for you, and CRA has not reviewed or endorsed Bukso.
  • 10A.7 Pay stubs by email. Only email a pay stub to an employee who agreed to get it by email; you record that agreement in Bukso. Otherwise give a printed stub.
  • 10A.8 Payroll records. CRA requires employers to keep payroll records for 6 years from the end of the last tax year they relate to: you, the employer, must keep them 6 years. Your payroll records stay in Bukso until you delete them; you decide. Before you delete an employee or their records, or close your account, Bukso warns you and makes you download a records zip first. Your payroll records are then deleted 30 days after you ask: we email you when you ask and again 7 days before, and you can cancel any time until then. The payroll entries in your books stay, without employee names or SINs (they read "Payroll run" and the date). Bukso does not keep your payroll records or your employees' SINs after you delete them or after you leave. You can download your payroll records at any time.
  • 10A.9 Payroll is for Canadian employers and employees only: Alberta now — BC, SK, MB, ON and more coming. US payroll: not available until further notice. If payroll is not available where your business is, your bookkeeping works as normal.
  • 10A.10 Handwritten timesheets and notes. Bukso can read hours from photos of handwritten timesheets, and pen notes on statements, on your own computer's AI worker. Handwriting can be misread: you, the employer, check and approve the hours on the Confirm screen before they are used in payroll, and a box we cannot read clearly is left blank for you, never treated as zero. Pen notes are hints only; they never change an amount or post anything without your answer, and your own rules come first. Keep your paper originals unless your accountant confirms your scans meet CRA's imaging rules.

11. Intellectual Property and Licence to Process Data

  • 11.1 Customer Data. As between the parties, the Customer retains all rights in its Customer Data. The Customer grants us a limited, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data solely to provide, secure and support the Service, and as otherwise described in the Privacy Policy.
  • 11.2 Output. Subject to payment of the applicable Fees, the Customer may use the Output for its own business purposes.
  • 11.3 Service. We and our licensors own all rights in the Service, including its software, design, models and content. No rights are granted to the Customer except as expressly set out in these Terms.
  • 11.4 Feedback. We may use any suggestions or feedback provided by the Customer without restriction or obligation.

12. Confidentiality

  • 12.1 We shall treat Customer Data as confidential, shall use it only as permitted by these Terms and the Privacy Policy, shall limit access by service providers to what they need to provide the Service, and our personnel shall access a Customer's file or entry only where the Customer asks us for help or reports a mistake.
  • 12.2 These obligations do not apply to information that is or becomes public through no fault of ours, or that we are required to disclose by law, in which case we will, where lawful, notify the Customer.

13. Third-Party Services

  • 13.1 The Service relies on third-party providers, including for hosting, payment processing (Stripe) and email, as listed in the Privacy Policy.
  • 13.2 Exports for QuickBooks Online, Xero or other software are provided for the Customer's convenience. We are not responsible for third-party products or services, which are governed by their own terms.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service and the Output are provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory, including any implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components.

15. Limitation of Liability

  • 15.1 What we are not responsible for. To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, lost profits, revenue, goodwill or business opportunity, or for taxes, interest, penalties, reassessments or payroll penalties charged by CRA, Revenu Québec, the IRS or any other authority, or for losses caused by information you gave us or by your filings.
  • 15.2 Cap. To the extent the law allows, our total liability for all claims is limited to the greater of (a) the fees you paid us in the 12 months before the event that caused the claim, or (b) $100 (in the Customer's billing currency). For free trials and free-access accounts it is $100.
  • 15.3 What this does not limit. Nothing in these Terms limits liability for fraud, wilful misconduct or gross negligence, or any right you have under consumer-protection or privacy law that cannot be waived. If you are a consumer in a province whose law does not allow some of these limits, they apply to you only as far as that law allows.

16. Indemnity

The Customer shall indemnify and hold harmless Ai Book Sort and its officers, employees and contractors from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of (a) Customer Data, (b) the Customer's breach of these Terms, or (c) the Customer's violation of any law or the rights of any third party, except to the extent caused by our own breach of these Terms.

17. Suspension and Termination

  • 17.1 The Customer may stop using the Service and close its Account at any time.
  • 17.2 We may suspend or terminate the Customer's access to the Service, with notice where reasonably practicable, if the Customer breaches these Terms, fails to pay Fees when due, or uses the Service in a manner that creates risk to us, to other customers or to the Service, or where required by law.
  • 17.2A Security. We may suspend or permanently close accounts that upload malicious content or try to attack the service. Suspected attacks lock the account at once while we review; a permanent closure may also block the payment card, email address, devices and network addresses used.
  • 17.3 Upon termination, the Customer's right to use the Service ceases. Customer Data will be deleted in accordance with the Data Retention Policy. Sections 6 (as to Fees accrued), 8, 9A, 10, 10A, 11, 12, 14, 15, 16, 20 to 26 and any other provisions which by their nature are intended to survive shall survive termination.
  • 17.4 Emergency shutdown. If we confirm that an attacker has actually gained access to our systems or to customer data (not just an attempt that our defences blocked), we may take the Service offline at once, without notice, to protect your data. We will tell you what happened as soon as we safely can, notify the privacy commissioners and affected people as the law requires, and reopen downloads as soon as it is safe. Paid membership time lost while the Service is offline for this reason is added back to your membership. This is a temporary safety measure; a permanent shutdown follows Section 8.10.

18. Changes to these Terms

When we change these Terms, we post them here with a new “Last updated” date and, at your next sign-in, show a short “What changed” list and ask you to review and accept the change before it takes effect for you. You can read the current Terms at any time. If you don't agree, you may close your account before the change takes effect and we will refund unused prepaid membership time pro rata. Changes never apply to an order or a billing period you have already paid for.

19. Notices

Notices to us must be sent by email to support@aibooksort.com. Notices to the Customer may be sent to the email address associated with the Account or displayed in the Service, and are deemed received when sent.

20. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Subject to any non-waivable right of a consumer to bring proceedings in the consumer's place of residence, the parties attorn to the exclusive jurisdiction of the courts of the Province of Alberta sitting in Calgary.

21. Force Majeure

Neither party shall be liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, fire, flood, pandemic, war, civil unrest, labour disputes, failure of utilities or telecommunications, changes by banks or card issuers to their statement formats, outages of internet, banking or payment networks, and failures of our hosting, email or payment providers.

22. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.

23. Entire Agreement

These Terms, together with the Privacy Policy, the Data Retention Policy, the Refund Policy and the Pricing Page, constitute the entire agreement between the parties with respect to the Service and supersede all prior agreements and understandings relating to it.

24. Assignment

The Customer may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, reorganisation or sale of all or substantially all of our business or assets, upon notice to the Customer.

25. Waiver

No failure or delay by either party in exercising any right under these Terms shall operate as a waiver of that right, and no single or partial exercise of any right shall preclude any further exercise of it.
